Paralegal

Location: Philadelphia, PA

Overview

LLR Partners is seeking a skilled corporate paralegal to join our Legal and Compliance functions. This role offers an exciting opportunity to contribute to a dynamic and fast-paced private equity firm. The ideal candidate will have a strong background in corporate transactions, with exceptional organizational skills and a proactive approach to legal support.

Accountabilities

  • Transactional Support: Assist with fund and M&A closings, including maintaining checklists, organization and management of closing documents, and tracking of post-closing obligations. Assist with portfolio company projects on an ad hoc basis.
  • Entity Management / Corporate Governance: Organize, maintain and update corporate records, assist with drafting corporate resolutions, and prepare and submit documents responsive to CTA and AML requirements.
  • Contract Management: Review and manage contracts and agreements, including vendor agreements, NDAs, and service contracts. Coordinate contract approvals and execution processes.
  • Administrative Support: Provide administrative assistance to the Legal and Compliance teams, including liaising with Finance, Accounting, Investor Relations and other operational functions.
  • Compliance Monitoring: Assist with preparation of periodic regulatory filings and other compliance efforts affecting the firm's operations.

Skills and Requirements

  • Bachelor's degree and/or paralegal certification.
  • 5+ years of experience as a paralegal in a law firm or corporate legal department, preferably with exposure to investment management, private equity and corporate transactions.
  • Strong knowledge of corporate law, contract law, and legal procedures.
  • Excellent verbal and written communication skills.
  • Ability to work independently and as part of a team, with a high level of attention to detail in a fast-paced environment.
  • Experience with document management systems and contract lifecycle management tools.
